Terms of Service

When you use any Big Spawn LLC products or services, you are agreeing to these Terms of Service (the “Terms”). Violation of these Terms may, at our discretion, result in suspension or termination of your account.

We may update these Terms from time to time. For material changes (changes that meaningfully reduce your rights or expand your obligations under these Terms), we will provide at least 30 days' advance notice by email to the address on your account before the changes take effect, and we will update the effective date at the top of this page. Non-material changes (clarifications, formatting, typo fixes, or changes required by law or by our Payment Processor) take effect when posted. Your continued use of the Services after the effective date of a change constitutes acceptance of the updated Terms; if you disagree with a material change, you may cancel your account before that change takes effect.

Definitions

  • “Company,” “we,” “our,” or “us” refers to Big Spawn LLC, a Georgia limited liability company. Our registered agent for service of process is Northwest Registered Agent, 8735 Dunwoody Place STE N, Atlanta, GA 30350. For all other inquiries, please use the contact information below.
  • “Services” refers to our websites (including any domains we operate) and any product created and maintained by Big Spawn LLC, whether delivered within a web browser, desktop application, mobile application, API, or another format. This includes (without limitation) our business site builder products (such as Sudsite, Sodsite, Woofsite, Buffsite, and SkedCraft) and our standalone product offerings (such as RainRule, CaptumVeri, and GeneSpark). Each Service provides recurring subscription access to its software functionality.
  • “You” or “your” refers to the person or organization that holds an account with one or more of our Services.
  • “Payment Processor” refers to Polar Software, Inc. (polar.sh), the third-party merchant of record that handles billing, card processing, tax collection, and subscription management for paid Services on our behalf. Card data is submitted directly to the Payment Processor and does not touch our servers.

Account Terms

  • You are responsible for maintaining the security of your account and password and for ensuring that any of your users do the same. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. We recommend all users set up two-factor authentication where available.
  • You are responsible for all content posted to and activity that occurs under your account, including content posted by and activity of any users in your account.
  • You must be 18 years or older to use the Services.
  • You must be a human. Accounts registered by bots or other automated methods are not permitted.

Payment, Refunds, and Plan Changes

  • Billing through Polar. All paid subscriptions are billed through our Payment Processor, Polar (polar.sh), acting as the merchant of record. Subscription prices, billing intervals, and any applicable taxes are presented to you on the checkout page before you complete the purchase.
  • Free tiers. If you are using a free version of one of our Services, it is really free: we do not ask you for your credit card or sell your data.
  • Free trial mechanics. For paid Services that offer a free trial, the length of the trial is disclosed when you sign up (currently 14 days for our business site Services). We do not require a credit card to start a trial. When your trial ends, your account becomes inactive until you add a payment method and start a paid subscription. Because no card is collected at the start of a trial, no automatic conversion charge occurs at trial end.
  • Auto-renewal of paid subscriptions. Once you start a paid subscription, it will automatically renew at the end of each billing period (monthly or annually, depending on the plan you selected) and your card on file will be charged the then-current rate for the next period until you cancel. You can cancel at any time from your dashboard's Billing page; cancellation stops future renewals and access continues through the end of the period you have already paid for. We will notify you by email if we change subscription pricing in a way that affects your plan, with at least 30 days' advance notice before the change takes effect.
  • Plan upgrades and downgrades. If you are upgrading from a free plan to a paid plan, we will charge your card immediately and your billing cycle starts on the day of upgrade. For other upgrades or downgrades in plan level, the new rate starts from the next billing cycle. We do not pro-rate mid-cycle plan changes.
  • Failed payments and dunning. If a renewal payment fails, we will email you and our Payment Processor will retry the charge over the following days (“dunning”). If we cannot collect payment, your account will move to past_due and access to the Service may be suspended until payment succeeds. If we are unable to collect payment after the dunning period, we may cancel the subscription.
  • Taxes. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required, our Payment Processor will collect those taxes on our behalf and remit them to the appropriate taxing authorities. Otherwise, you are responsible for payment of all such taxes, levies, or duties.
  • Refund policy. Paid subscriptions are non-refundable except as follows: (i) for a monthly subscription, you may request a full refund of the most recent charge within 7 days of that charge if you have not made meaningful use of the Service in the corresponding billing period; (ii) for an annual subscription, you may request a full refund within 14 days of the charge under the same condition; (iii) we may issue partial or full refunds for documented Service outages or billing errors; and (iv) we issue refunds in any other case where required by applicable law. Refund requests outside these windows are evaluated on a case-by-case basis and are not guaranteed. To request a refund, email support@bigspawn.com from the address associated with your account, referencing the transaction date and amount. Approved refunds are processed by our Payment Processor and typically appear on your statement within 5 to 10 business days.
  • Chargebacks and disputes. If you believe a charge is incorrect, please contact us first at billing@bigspawn.com. We will work with you to resolve it quickly. Filing a chargeback or payment dispute with your card issuer without first contacting us may result in immediate suspension of your account pending resolution. If a chargeback is filed and ultimately found unjustified, we reserve the right to recover the disputed amount plus any chargeback fees imposed by the Payment Processor or card networks (typically $15-$25 per dispute) by re-billing the original payment method or by other lawful means, and to permanently terminate your account.

Cancellation and Termination

  • How to cancel. You can cancel any paid subscription at any time from the Billing page in your account dashboard. Cancellation stops future renewals. If you cannot reach the dashboard, you may email billing@bigspawn.com from the address associated with your account with the subject line “Cancellation Request,” and we will process the cancellation manually within two business days.
  • When cancellation takes effect. Your cancellation takes effect at the end of your current paid billing period. You keep access to the Service through the end of that period, and you will not be charged again. After that, your owner-side editing access ends.
  • What happens to your content. Cancelling your subscription does not delete your content. Your services, photos, business hours, testimonials, and account records are preserved so you can resubscribe later and pick up where you left off. If you want your content removed, delete your account from your dashboard or email us at support@bigspawn.com, and we delete Customer Content within 90 days of the deletion taking effect from active systems and backups. We may retain certain records (for example, invoices, tax records, and security logs) for longer where required or permitted by law or where we have legitimate business needs (such as security, fraud prevention, dispute resolution, and enforcing our agreements). We cannot recover content once it has been permanently deleted.
  • Published business sites. If you operate a published business site through one of our business-site Services (Sudsite, Sodsite, Woofsite, Buffsite, or SkedCraft), the public-facing storefront remains accessible to your customers and to search engines after cancellation, as a courtesy to your customers and to preserve the search-engine reputation you have built. Your owner-side editing access stops, and the site stops accepting new online booking requests. You may request that the published site be unpublished or deleted at any time by emailing us at support@bigspawn.com, and we will honor that request consistent with the 90-day deletion window described above and with applicable data-protection laws.
  • Suspension and termination by us. We reserve the right to suspend or terminate your account and refuse any and all current or future use of our Services for any reason at any time. Suspension means you and any other users on your account will not be able to access the account or any content in the account. Termination will furthermore result in the deletion of your account and the deletion of all content in your account, subject to the 90-day window described above and to any legal hold or retention obligation. Verbal, physical, written, or other abuse (including threats of abuse or retribution) of a Company employee or officer will result in immediate account termination.

Acceptable Use Policy

You agree not to use the Services to engage in, host, promote, or facilitate any of the activities listed below. We may suspend or terminate accounts that violate this policy, with or without notice depending on the severity of the violation, and we will cooperate with law-enforcement requests where appropriate.

  • Illegal activity. Any activity that violates applicable U.S. federal, state, or local law, or the law of any jurisdiction in which the activity is directed, including (without limitation) money laundering, terrorist financing, human trafficking, drug trafficking, or sanctions evasion.
  • Fraud and payment abuse. Card testing, stolen-card use, synthetic identity creation, chargeback fraud, deceptive pricing, bait-and-switch tactics, or any practice intended to defraud customers or our Payment Processor.
  • Prohibited and high-risk businesses. Selling or facilitating the sale of controlled substances, firearms, fireworks, ammunition, adult content, escort services, online gambling, multi-level marketing schemes, pyramid schemes, cryptocurrency exchanges, payday lending, debt collection, illegal tobacco or vaping products, counterfeit goods, or any business category prohibited by our Payment Processor's acceptable use policy (see polar.sh/docs/policies/acceptable-use).
  • Harmful content. Distributing malware, viruses, worms, ransomware, phishing content, spam, child sexual abuse material (CSAM), content that incites violence or hatred against a protected group, or content that infringes another party's intellectual property rights.
  • Platform abuse. Attempting to gain unauthorized access to the Services or other users' accounts, probing for vulnerabilities, bypassing rate limits or feature flags, scraping at a rate that degrades Service performance for other customers, or interfering with the Payment Processor's normal operation.
  • Misrepresentation of identity. Impersonating another person or business, providing false information at signup, or operating multiple trial accounts to evade paid limits.
  • High-volume unsolicited messaging. Using the Services to send unsolicited bulk email (spam), unsolicited SMS, or any messaging in violation of CAN-SPAM, TCPA, GDPR, CASL, or comparable laws.

Uptime, Security, and Privacy

Your use of the Services is at your sole risk. We provide the Services on an “as is” and “as available” basis. We do not offer service-level agreements, but we take uptime of our applications seriously.

We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other customers of the Services. We'll reach out to the account owner before taking any action except in rare cases where the level of use may negatively impact the performance of the Service for other customers.

We access Customer Data only as instructed by you and as necessary to provide and secure the Services, or to comply with law. We do not use Customer Data for advertising or other purposes outside the Services. See our Privacy Policy for details.

We use third-party vendors and hosting partners (“Subprocessors”) to provide the necessary hardware, software, networking, storage, and related technology required to run the Services.

Under the California Consumer Privacy Act, as amended by the California Privacy Rights Act (collectively, “CPRA”), Big Spawn acts as a “service provider” with respect to your use of the Services when we process Customer Data on your behalf. That means we process any data you share with us only for the purpose you signed up for and as described in these Terms, our Privacy Policy, and other applicable policies. We do not retain, use, disclose, or sell that information for other commercial purposes unless we have your explicit permission or as permitted by law. Similarly, you agree to comply with your requirements under CPRA and not use Big Spawn's Services in a way that violates the regulations.

These Terms incorporate our Data Processing Addendum (DPA) when the EU/UK General Data Protection Regulation applies to your use of the Services to process Customer Data as defined in the DPA. The DPA supersedes any previously agreed data processing addendum between you and Big Spawn LLC relating to your use of the Services. If there is a conflict between these Terms and the DPA, the DPA will control to the extent of the conflict with respect to the Processing of Personal Data.

Copyright and Content Ownership

  • All content posted on the Services must comply with U.S. copyright law. To report copyright infringement, email legal@bigspawn.com.
  • You give us a limited license to use the content posted by you and your users in order to provide the Services to you, but we claim no ownership rights over those materials. All materials you submit to the Services remain yours.
  • We do not pre-screen content, but we reserve the right (but not the obligation) in our sole discretion to refuse or remove any content that is available via the Service.
  • The Company or its licensors own all right, title, and interest in and to the Services, including all intellectual property rights therein, and you obtain no ownership rights in the Services as a result of your use. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements without express written permission from the Company. You must request permission to use the Company's logos or any Service logos for promotional purposes. We reserve the right to rescind any permissions if you violate these Terms.
  • You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, or access to the Services without our express written permission of the Company.
  • You agree to indemnify and hold harmless the Company and its affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of anyone.

Liability

You agree that the Company is not liable to you or to any third party for damages of any kind that result from the use of the Services, inability to access data, or unauthorized access of your data or account. The Company is also not liable for damages of any kind related to actions of any third party that uses the Services, or any other consequences related to the Terms or Services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Georgia to resolve any legal matter arising from the Terms or the Services. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
